Geoffrey Miller spent the first chapter of his career as a policyholder-side insurance coverage litigation attorney, representing clients in the technology, real estate, construction, and hospitality sectors in complex insurance disputes. He now puts that experience to work on the front end: anticipating where deals and insurance programs break down, drafting the contract and insurance language that prevents disputes, and building insurance programs that respond when prevention is not enough.
Geoffrey provides full-service outsourced risk management, frequently serving as a client’s permanent or interim head of risk. He oversees insurance and risk on dozens of construction and real estate transactions each year, ranging from a few million dollars to over one billion, and consults on real estate acquisitions and divestitures, portfolio master insurance programs, corporate mergers and equity transactions, lender compliance, and representation and warranty issues. Geoffrey brings particular depth in affordable housing and tax credit transactions, managing HUD and low-income housing tax credit compliance, structuring insurance for historic buildings and historic tax credit projects, and negotiating insurance terms directly with lenders and tax credit investors. He is also relied on for complex contract negotiation and drafting, regularly negotiating the insurance and indemnity terms of municipal ground leases, construction contracts, and loan agreements.
As Director of Cyber & Professional Risk, Geoffrey leads the firm's work in directors and officers liability, professional liability, employment practices, crime coverage, and cyber risk. His cyber practice runs the full arc of the risk: helping clients strengthen their security posture and present favorably to a demanding insurance market, and leading response and recovery efforts when incidents like ransomware, data breaches, and funds transfer fraud occur.
Geoffrey serves as co-chair of the American Bar Association Insurance Coverage Litigation Committee's Cyber Risk and Data Privacy Subcommittee and regularly teaches for the ABA and industry groups on insurance law, contractual risk transfer, cyber risk, artificial intelligence, and legal ethics.
